3. Inventory Condition & Sales Terms

Inventory sold by LotzLink may consist of mixed-condition merchandise and
may include customer returns, shelf pulls, overstock, open-box, surplus,
refurbished, salvage, or untested merchandise depending on the sourcing
channel.
Condition classifications, manifests, quantities, and product information are
believed to be reasonably accurate when provided but are not guaranteed
unless expressly stated in writing.
All inventory is sold on an “AS IS,” “WHERE IS,” and “WITH ALL FAULTS” basis
unless otherwise agreed to in writing.
All sales are final. No refunds, returns, exchanges, chargebacks, allowances,
or cancellations will be accepted unless approved in writing by LotzLink.

4. Manifest & Retail Value Disclaimer

Manifest information, estimated retail values, product descriptions, quantities,
categories, and condition classifications may be provided by suppliers,
retailers, distributors, or internal review processes and are believed to be
reasonably accurate but are not guaranteed.
Actual merchandise received may vary in assortment, quantity, packaging,
completeness, functionality, condition, or estimated retail value.
Estimated retail values are provided solely for reference purposes and do not
represent guaranteed resale pricing, profitability, or market performance.

5. No Guarantees of Performance

LotzLink makes no representations, warranties, or guarantees regarding:

  • Sell-through rates
  • Market demand

Buyers acknowledge that wholesale inventory purchases involve inherent
business and resale risk.
All purchasing decisions are made solely at the buyer’s discretion and risk.

6. Buyer Responsibilities

Buyers are solely responsible for:

  • Obtaining and maintaining proper business licenses and resale
    certificates
  • Compliance with all federal, state, local, and international laws and
    regulations
  • Product testing, inspection, repackaging, labeling, and resale
    representation
  • Sales tax collection and remittance
  • Freight coordination, shipping, storage, unloading, and handling after
    transfer unless otherwise stated in writing by LotzLink.Compliance with
    marketplace, platform, and brand restrictions

LotzLink is not responsible for buyer resale practices, customer disputes,
marketplace suspensions, or downstream business operations.

7. Shipping & Freight

Shipping timelines, freight quotes, delivery estimates, and logistics
coordination are provided as estimates only and may vary due to carrier
availability, warehouse operations, weather, supply chain disruptions, or other
factors beyond LotzLink’s control.
Risk of loss and ownership transfer to the buyer upon shipment release, carrier
pickup, or transfer from the originating facility unless otherwise agreed to in
writing.
Buyers are responsible for verifying delivery requirements, including dock
access, liftgate needs, appointment scheduling, and unloading capabilities.

8. Inspection & Claims

Buyers are responsible for inspecting shipments upon delivery.
Any claims related to visible freight damage, shortages, or shipment
discrepancies must be submitted in writing within 72 hours of delivery.
Failure to report claims within the stated timeframe constitutes acceptance of
the shipment and waiver of any related claims.

9. Payment Disputes & Chargebacks

Buyers agree not to initiate unjustified chargebacks, payment reversals, or
disputes for inventory sold in accordance with these Terms.
In the event of a payment dispute, LotzLink reserves the right to pursue recovery
of all associated collection costs, administrative expenses, legal fees, and
damages permitted by applicable law.

10. Brand & Retailer Disclaimer

References to retailers, manufacturers, product brands, suppliers, or
marketplaces are provided strictly for identification and descriptive purposes
only.
LotzLink is not affiliated with, endorsed by, sponsored by, or acting as an
authorized representative of any referenced retailer or brand unless expressly
stated in writing.

11. Force Majeure

LotzLink shall not be liable for delays, interruptions, cancellations, or failure to
perform resulting from events beyond its reasonable control, including but not
limited to carrier delays, supply chain disruptions, labor shortages, natural
disasters, severe weather, warehouse interruptions, transportation failures,
government actions, utility outages, or other unforeseen events.

12. Electronic Communications

agreements, notices, and related business documentation electronically.

13. Limitation of Liability

To the maximum extent permitted by law, LotzLink shall not be liable for any
indirect, incidental, consequential, special, punitive, economic, or business
